1. Acceptance of Terms

Welcome to JetHire AI. These Terms of Service ("Terms") govern your access to and use of the JetHire AI platform, website, and services (collectively, the "Services") provided by JetHire AI, Inc., a Delaware corporation with its principal place of business at 228 Park Ave S, New York, NY 10003 ("JetHire," "we," "us," or "our"). Please read these Terms carefully before using our Services.

By accessing or using JetHire AI's services, you agree to be bound by these Terms. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree with these Terms, you may not use our services.

2. Description of Services

JetHire AI provides AI-powered recruitment and applicant screening services (the "Services"), including but not limited to:

  • Automated resume and application screening
  • Candidate matching with job requirements
  • HR workflow automation
  • Interview scheduling and management
  • Recruitment analytics and reporting
  • Applicant tracking and management
  • AI-powered candidate assessment tools
  • Recruitment process optimization tools

Our Services are intended to assist human resources professionals and hiring managers in their recruitment process and should be used as a tool to supplement, not replace, human decision-making. You acknowledge and agree that:

  1. The Services utilize artificial intelligence, machine learning algorithms, and automated processing to analyze recruitment data and provide recommendations.
  2. JetHire AI does not guarantee specific employment outcomes or that the use of our Services will result in the identification or hiring of any particular candidates.
  3. The Services are not designed or intended to be used as the sole basis for employment decisions, and human review and oversight should be maintained throughout the recruitment process.
  4. JetHire AI is not a consumer reporting agency as defined in the Fair Credit Reporting Act (FCRA), and our Services do not constitute "consumer reports" or "investigative consumer reports" as defined under the FCRA. You shall not use the Services for any purpose that would cause the Services to be deemed a consumer report subject to the FCRA.
  5. You are solely responsible for ensuring that your use of the Services complies with all applicable employment and hiring laws and regulations, including equal employment opportunity and anti-discrimination laws.

3. Account Registration and Security

  1. Account Creation: To use certain features of our services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process.
  2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
  3. Organizational Accounts: If you create an account for an organization, you represent that you have the authority to bind that organization to these Terms.

4. Subscription and Payment Terms

  1. Subscription Plans: JetHire AI offers various subscription plans. Details of each plan's features, limitations, and pricing are available on our website.
  2. Payment: You agree to pay all fees associated with your selected subscription plan. All payments are non-refundable unless otherwise specified.
  3. Billing Cycles: Subscription fees are charged at the beginning of each billing cycle. Your billing cycle will be specified during your account setup.
  4. Price Changes: We reserve the right to change our prices at any time. If we change prices, we will provide notice of the change on our website or by email at least 30 days before the change takes effect.
  5. Taxes: All fees are exclusive of taxes, which we will charge as applicable.

5. User Responsibilities and Prohibited Activities

  1. Compliance with Laws: You agree to use our Services in compliance with all applicable laws and regulations, including but not limited to employment laws, data protection laws, anti-discrimination laws, and laws governing automated decision-making in hiring contexts. This includes but is not limited to compliance with the Americans with Disabilities Act (ADA), Title VII of the Civil Rights Act, the Age Discrimination in Employment Act (ADEA), the Fair Credit Reporting Act (FCRA) where applicable, and similar state and local laws.
  2. Prohibited Activities: You agree not to:
    • Use our Services for any illegal or unauthorized purpose
    • Upload or transmit any malicious code, viruses, or data that may damage or interfere with our Services
    • Access or attempt to access other users' accounts or data without authorization
    • Use our Services to discriminate against job applicants based on protected characteristics
    • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure of our Services
    • Interfere with or disrupt the integrity or performance of our Services or third-party data contained therein
    • Harvest, collect, or gather user data, including job applicant data, without proper authorization
    • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
    • Engage in "scraping," "crawling," or "spidering" of any page, data, or portion of the Services
    • Use our Services to send unsolicited communications, promotions, or advertisements
    • Use our Services to stalk, harass, or harm another individual
    • Use any high volume automated means (including robots, spiders, scripts or similar methods) to access the Services or any content or systems connected to the Services
  3. Responsible AI Use: You acknowledge that our Services include artificial intelligence and machine learning components, and you agree to use these tools ethically and responsibly, including:
    • Regularly reviewing and auditing AI-based decisions and recommendations
    • Ensuring appropriate human oversight of all automated processes and decision-making
    • Not using our AI tools as the sole determinant in hiring or employment decisions
    • Implementing appropriate measures to identify, assess, and mitigate risks of algorithmic bias
    • Providing transparency to job applicants about the use of AI in the hiring process when required by law
    • Taking reasonable steps to validate that the use of our AI tools does not result in disparate impact against protected groups
    • Using our Services in accordance with applicable laws governing automated decision-making in employment contexts, including state and local laws that may require disclosure or consent

6. Data and Privacy

  1. Data Processing Agreement: Our processing of personal data is governed by our Data Processing Agreement, which is incorporated by reference into these Terms. For customers subject to the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), or other applicable data protection laws, additional terms may apply.
  2. Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to the collection, use, and sharing of information as described in our Privacy Policy.
  3. Data Submission: You represent and warrant that you have all necessary rights, consents, and permissions to submit data to our Services and to grant us the rights specified in these Terms. You shall obtain all required consents from data subjects for the processing of their personal data through our Services, including explicit consent where required by applicable law. You agree to indemnify and hold JetHire AI harmless from any claims, damages, liabilities, costs, or expenses arising from your failure to obtain such consents.
  4. Data Security: We implement reasonable security measures designed to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials and for any activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
  5. Data Retention and Deletion: We will retain your data for as long as your account is active or as necessary to provide you with the Services. We may retain your data for a reasonable time after you cease using our Services for backup, archival, legal, or audit purposes. Upon termination of your account, we will delete or anonymize your data in accordance with our data retention policies, except as required to comply with our legal obligations, resolve disputes, or enforce our agreements.
  6. Compliance with Employment Laws: You acknowledge that you are solely responsible for ensuring that your use of our Services complies with all applicable employment and hiring laws, including but not limited to equal employment opportunity laws, anti-discrimination laws, and data protection laws. JetHire AI's Services are tools to assist in your recruitment processes and do not replace your legal obligations as an employer or recruiting entity.

7. Intellectual Property Rights

  1. Our Intellectual Property: JetHire AI and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein. Nothing in these Terms constitutes a transfer of any intellectual property rights from us to you.
  2. License to Use Services: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Services for your internal business purposes.
  3. Feedback: If you provide us with any feedback, suggestions, or ideas regarding our Services, you grant us an unlimited, worldwide, perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize such feedback in any way without any obligation to compensate you.
  4. Your Content: You retain ownership of any content you submit to our Services. By submitting content, you grant us a worldwide, royalty-free license to use, reproduce, modify, and distribute that content solely for the purpose of providing and improving our Services.

8. Confidentiality

  1. Confidential Information: Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party in connection with the Services.
  2. Exclusions: Confidentiality obligations do not apply to information that: (i) is or becomes publicly available without breach of these Terms; (ii) was known to the receiving party prior to its disclosure; (iii) is independently developed by the receiving party; or (iv) is required to be disclosed by law.

9. Disclaimers and Limitations of Liability

  1. DISCLAIMER OF WARRANTIES: TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JETHIRE AI MAKES NO WARRANTY THAT: (i) THE SERVICES WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (iv) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
  2. AI Limitations: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT AI-BASED TOOLS HAVE INHERENT LIMITATIONS AND MAY NOT BE ERROR-FREE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE OUTPUTS OF OUR AI TOOLS BEFORE MAKING DECISIONS BASED ON THEM. JETHIRE AI DOES NOT GUARANTEE THAT THE AI FUNCTIONALITY PROVIDED WILL PRODUCE ACCURATE OR USEFUL RESULTS AND YOU ASSUME ALL RISKS ASSOCIATED WITH RELYING ON SUCH RESULTS.
  3. LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JETHIRE AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST BUSINESS OPPORTUNITIES, LOSS OF USE OR DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
    • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
    • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
    • ANY HIRING DECISION, EMPLOYMENT RELATIONSHIP, OR OTHER BUSINESS DECISION MADE USING OUR SERVICES;
    • ANY CONTENT OBTAINED FROM THE SERVICES;
    • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
    • ANY EMPLOYMENT OR HIRING DECISIONS MADE IN PART OR IN FULL BASED ON THE SERVICES;
    • ANY ALGORITHMIC BIAS, DISCRIMINATION CLAIMS, OR REGULATORY ENFORCEMENT RELATED TO YOUR USE OF THE SERVICES;
    • ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES; OR
    • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES.
  4. CAP ON LIABILITY: NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, JETHIRE AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, IS LIMITED TO THE LESSER OF: (i) THE AMOUNT YOU PAID JETHIRE AI IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (ii) ONE THOUSAND DOLLARS ($1,000).

10. Indemnification

You agree to defend, indemnify, and hold harmless JetHire AI, Inc., its parents, subsidiaries, affiliates, and each of their respective officers, directors, employees, contractors, agents, partners, licensors, and suppliers (collectively, the "JetHire Parties") from and against any claims, actions, demands, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and legal costs) arising out of or relating to:

  1. Your violation of these Terms;
  2. Your use of the Services, including but not limited to any hiring or employment decisions made using the Services;
  3. Your violation of any applicable law, rule, or regulation in connection with your use of the Services, including but not limited to any employment or data protection law;
  4. Your User Content or any material that you transmit to or through the Services;
  5. Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right;
  6. Any misrepresentation made by you;
  7. Any dispute or issue between you and any third party;
  8. Any negligence or willful misconduct by you or your agents; or
  9. Any discrimination claims, regulatory actions, or legal proceedings arising from your use of the Services.

JetHire AI reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such claim without JetHire AI's prior written consent. JetHire AI will use reasonable efforts to notify you of any such claim or proceeding that is subject to this indemnification upon becoming aware of it.

11. Term and Termination

  1. Term: These Terms will remain in effect until your subscription expires or is terminated.
  2. Termination by You: You may terminate your account at any time by following the instructions on our website or by contacting our customer support.
  3. Termination by Us: We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
  4. Effect of Termination: Upon termination, your right to use our Services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination will survive termination.
  5. Data Retention and Deletion: After termination, we will retain your data for a reasonable period as required by law or for legitimate business purposes. We will delete or anonymize your data when we no longer need it.

12. Modifications to Terms or Services

  1. Modifications to Terms: We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through our Services or by other means. Your continued use of our Services after the changes take effect constitutes your acceptance of the revised Terms.
  2. Modifications to Services: We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will provide notice of material changes to our Services.

13. General Provisions

  1. Governing Law: These Terms and any action related thereto shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms shall be the state courts of the State of Delaware or the United States District Court for the District of Delaware, and each of the parties hereto waives any objection to jurisdiction and venue in such courts.
  2. Dispute Resolution:
    1. Informal Resolution: Before filing a claim against JetHire AI, you agree to try to resolve the dispute informally by contacting support@jethire.ai. We will attempt to resolve the dispute informally by contacting you via email. If the dispute is not resolved within 30 days of submission, you or JetHire AI may bring a formal proceeding.
    2. Arbitration Agreement: You and JetHire AI agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth below. The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules. The arbitration will be held in New York, New York, or any other mutually agreed location.
    3. Class Action Waiver: YOU AND JETHIRE AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this specific provision is found unenforceable, then the entirety of this "Dispute Resolution" section will be null and void.
    4. Exceptions: Nothing in these Terms prevents either party from bringing an individual action in small claims court or from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
  3. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
  4. No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of JetHire AI.
  5. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without JetHire AI's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. JetHire AI may freely assign or transfer these Terms without restriction.
  6. Force Majeure: JetHire AI shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond JetHire AI's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
  7. Entire Agreement: These Terms, including any documents incorporated by reference, constitute the entire agreement between you and JetHire AI regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.
